Terms and Conditions of the

MBP User Agreement

Your use of www.most-bridge.com website qualifies you as a MBP User and constitutes your agreement to the Terms and Conditions enclosed with this Agreement, just as if you had signed this Agreement. If you do not comply with the Terms, then you are not allowed to use The Website and MBP services.

Until further notice, access to all our resources, including the right to agent fee, is FREE.

Terms

In this Agreement the following terms have the meanings set opposite:

Job Vacancy – Description of a high tech job offered by an MBP Participant.

MBP Fellow Member - an MBP Participant who has full access to The Website Publications and the MBP services. Usually it is a Company, Agency or Organization, however it can be a person such as a medical or legal practitioner, who wants to Publish their proposals in the MBP "Services" Directory

Consumer – an MBP User who wants to order a Research & Development Project, Education Proposal, Product, Service or to receive an Investment Proposal.

Investment - laying out money or capital in an enterprise or property with the expectation of profit.

Investor – an MBP Participant who wants to offer an investment to other MBP Participants.

Provider - an MBP Participant (producer or supplier) who wants to offer a Research & Development Project, Education Proposal, Product, Investment, Service.

MBP Category - Research & Development, Trade, Service, etc. For every MBP Category a separate Directory is created and supported on The Website to accommodate Publications related to the specific MBP Category.

MBP Directory - a structural part of The Website, which includes Publications related to a specific MBP category. The list of MBP directories is presented as a row (s) under the Most-Bridge Logo (in blue colour). Every MBP Directory is subdivided into separate Pages. Most of the MBP Directories have their Pages divided in Offer - Order groups to indicate to a User the purpose of information provided in the corresponding Page.

MBP Page - a structural part of MBP Directory, which includes Publications related to a specific subject. List of Pages of every Directory is presented as a column on the left under the MBP logo (in blue colour). The corresponding Directory name is presented as a header to the column (in black colour, UPPER case), The title of a selected Page is presented in the middle of the Page (in black colour, Title case)

MBP Agent - MBP Fellow Member or MBP Professional, who recommends another User for Registration with MBP (see section 8. MBP Agents below for more details).

MBP Registration – act of becoming MBP Participant (see section 5. Registration with MBP below for more details).

Independent expert – a specialist in one or several activity areas available for Consultation, Advice, Project Co-ordination and Project evaluation following a request from MBP Participants.

Participant Number – a decimal number which is assigned by the system during Registration. Valid for the whole period of Registration.

Publication Number – a decimal number, which is assigned by the system during Publication Registration and is used for reference.

Password - a secret word used by Participants for The Website login purposes. Password consists of 4-12 non accentuated‑Latin‑alpha/numeric characters. Must not contain any special characters (such as *, /, \, _, -), no space is allowed. Password is case sensitive.

User – a Visitor of The Website or a MBP Participant.

Visitor – an unregistered User of The Website.

Education Proposal - a Study Course at a Learning Institution, e.g. University.

Most-Bridge Program (MBP) – is the Internet based service with the objective to interconnect Consumers and Providers Worldwide.

Professional – a Job Applicant seeking a high tech job, offered by MBP Participants, or an Independent Expert offering his service for participation in the Project, Interpretation or Tuition, or an Independent Investor.

MBP Professional - an MBP Participant, usually an individual. The Professional membership gives you full access to The Website information. Professional membership allows you to make Publications in the "Professional" Directory of The Website.

Publication - an electronic copy of the document offered by the MBP Participant for distribution via The Website. It is classified in accordance with MBP Category. Publication consists of formalised data, provided during Publication Registration and may include more detailed Additional Information (Company Profile, Resume, Project / Product / Service description)

Registration Information – Information provided by MBP Participant on the registration form.

Publication Registration – Act of submission of formalised data on a specific subject prior to posting of more detailed Additional Information on The Website. In many cases the formalised data can be sufficiently extensive to describe the specific subject of Publication without posting of Additional Information.

Additional information – Detailed information on a specific subject. Additional information forms part of a Publication and can be posted by a Participant after Publication Registration. Normally, this is a document which can be downloaded (MS Office file) or viewed online (PDF file) by The Website Users. Additional information can be provided in any of The Website Languages.

Resume – a publication of the Professional’s details.

Advertisement – Information Prepared by MBP on a Participant’s order for distribution via The Website for a public promotion of a product and/or service provided by the Participant. Advertisement is available to any Visitor of The Website but for a limited period of time or, in the case of Email Newsletter distribution, it targets a certain group of Participants and is performed only once.

Advertisement Message - an MBP Publication in support of an Advertisement. In accordance with the Participant’s choice, the electronic copy of the Publication can be placed on The Website to be available to any Visitor of The Website via a link on Advertisement Panel or via the “Website News” page or distributed by Email to a certain group of Participants.

Selection Table - A tabulated list of publications offered to The Website Visitors to simplify navigation within The Website Page.

Service - work, help or assistance carried out by the Provider that benefits the Consumer.

MBP Participant – a User (a company or individual) registered on The Website. This may be a MBP Member, MBP Professional, and MBP Fellow Member. In relation to Research & Development, Education, Trade, Business, etc. it may be a Provider or a Consumer, or both.

Registration / Publication Objective – constitutes the placing of an Order (participation as a Consumer) or an Offer (participation as a Provider) as a purpose of Registration / Publication on The Website.

MBP Member - an MBP Participant who has restricted access to The Website Publications and the MBP services.

The Website Language – One of the MBP languages, currently English, Chinese and Russian. MBP Participants can send us an email with their proposal for the introduction of additional languages.

2. Your Use of MBP Service

You will not use or allow use of the MBP services for any improper, immoral, offensive, fraudulent, illegal or unlawful purpose, or in breach of any copyright, privacy or any other rights. You will make your best efforts so that marketing communications are truthful and consumer confidence is maintained.

While using The Website, you will not:

- Interfere with The Website;

- Take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately high load on The Website;

- Misuse the MBP Messaging system;

- Distribute or post spam, unsolicited or bulk electronic communications, chain letters, or pyramid schemes;

- Distribute viruses or any other technologies that may harm The Website, or the interests or property of MBP users;

- Harvest or otherwise collect information about Participants, including email addresses, without their consent;

- Post or upload information in an inappropriate Directory on The Website (the Directory which is not related to the subject of the information).

We reserve the right (at our sole discretion and without limiting other remedies) to issue you with warnings, to limit, suspend, or terminate our service to you and your MBP participation, to restrict or prohibit access to, and your activities on, The Website, to delay or remove hosted content, and to take technical and legal steps to keep you off The Website if at any time we think that:

- there has been or is likely to be a breach of security;

- there has been or is likely to be a submission of knowingly false information in connection with the MBP Services;

- we think that you are creating problems (including, without limitation, by harassing the Company staff or other MBP users or by making unreasonable legal threats against the Company), or exposing us or another MBP user to financial loss or legal liabilities;

- we think that you are infringing the rights of third parties;

- we think that you are acting inconsistently with the letter or spirit of this Agreement or our policies;

You agree not to hold The Company responsible for any loss you may incur as a result of MBP taking any of the actions described above.

MBP and the MBP community work together to keep the Website and the MBP services working properly and the community safe. Please report problems, offensive content and policy breaches to us.

3. Ownership of The Website and Intellectual Property

The Website is owned and operated by The Company. All elements of The Website are owned by The Company, or, as appropriate, by its licensors or its Participants.

All elements featured or displayed on The Website, including, but not limited to, the site concept, the general design and the content, are protected by copyright, moral rights, trademark and other laws relating to intellectual property rights. Except as explicitly permitted under this or another agreement with The Company or one of its subsidiaries, no portion or element of this website or its Content may be copied, reproduced, translated, adapted, be used for derivative works, stored in a retrieval system, retransmitted or distributed in any form or via any means, without the prior written permission of The Company. The Website, its concept, general design and content and all related rights shall remain the exclusive property of The Company or, as appropriate, its licensors, or Participants unless otherwise expressly agreed.

4. Indemnification for Breach

You agree to indemnify The Company, its subsidiaries, its affiliates and licensors against any losses, expenses, costs or damages howsoever incurred by any or all of them as a result of your breach of the Terms of this Agreement or your unauthorised use of the site concept, the general design, the content and related rights.

5. Registration with MBP

The registration of Participants with MBP is FREE.

By registering with MBP you also consent to providing your Username, Country and Activity area to be published on The Website. You accept that your Email address and your Username can be accessible by other Participants after their login to The Website.

6. Fellow Membership

A Fellow Membership gives you full access to The Website Publications and the MBP services and allows to post Publications on The Website.

The Fellow Membership fee is 10 UK Pounds per month or 100 UK Pounds for one year.

Subject to the regular membership fee payment, the Fellow Membership is automatically renewed until you inform us that you wish to cancel your subscription. If you wish to cancel your Fellow Membership, simply go to “My Area” directory and follow the instructions, alternatively you can send us an email with the word "Cancellation" followed by your Participant Number in the Email Subject Line and you will immediately receive a confirmation of your cancellation.

The Fellow Membership fee is not refundable. MBP reserves the right to deny the Fellow Membership to any user for any reason. In such a case, MBP will not process your payment.

MBP reserves the right to cancel the Fellow Membership to any user for any reason. In such a case, MBP will not process your monthly payment due or provide pro rata refund of the annual payment.

The Company reserves the right to change the fees for new Fellow Members without further notice. The existing Fellow Members would be given 1 month notice.

Until further notice, access to all our resources, including the right to agent fee, is FREE.

7. Professional Membership

Professional Membership is convenient for Individuals.

Professional Membership gives you full access to The Website Publications and the MBP services and allows you to make Publications in the “Professionals” directory of The Website.

The Professional Membership fee is a-one off payment of 10 UK Pounds unless you would like to extend your use of The Website as a MBP Fellow Member. This can be done at any time, for any duration, for a fee of 10 UK Pounds per month. Your full access to The MBP services would start from the moment your payment is processed.

If you wish to cancel your Professional Membership, simply go to “My Area” directory and follow the instructions, alternatively you can send us an email with the word Cancellation followed by your Participant Number in the Email Subject Line and you will immediately receive a confirmation of your cancellation.

The Professional Membership fee is non-refundable.

MBP reserves the right to deny the Professional membership to any user for any reason. In such a case, MBP will not process your payment.

MBP reserves the right to cancel the Professional membership of any user for any reason.

The Company reserves the right to change the fees for new Professional members without further notice.

Until further notice, access to all our resources, including the right to agent fee, is FREE.

8. MBP Agents

MBP pay an Agent fee (“the Fee") for each Registration referred to MBP by MBP Fellow Member or MBP Professional.

The Fee is accumulated every time when MBP registration with a reference to the Agent’s MBP Participant Number occurs.

MBP shall pay the Fee in accordance with the following:

a) Till 1 July 2007- 50% of registration fees paid to MBP by any Participant who makes a reference to the Agent’s Participant Number.

b) From 1 July 2007 to the Agent – MBP Fellow Member:
- 20% of registration fees paid to MBP by any Participant who makes a reference to the Agent’s MBP Participant Number, if the number of the provided active registrations is less than 5 Fellow Members.
- 30% of registration fees paid to MBP by any Participant who makes a reference to the Agent’s MBP Participant Number, if the number of the provided active registrations is equal to or higher than 5 Fellow Members but less than 10 Fellow Members.
- 40% of registration fees paid to MBP by any Participant who makes a reference to the Agent’s MBP Participant Number, if the number of the provided active registrations is equal to or higher than 10 Fellow Members.

c) From 1 July 2007 to the Agent – MBP Professional:
- 10% of registration fees paid to MBP by any Participant who makes a reference to the Agent’s MBP Participant Number, if the number of the provided active registrations is less than 5 Fellow Members.
- 15% of registration fees paid to MBP by any Participant who makes a reference to the Agent’s MBP Participant Number, if the number of the provided active registrations is equal to or higher than 5 Fellow Members but less than 10 Fellow Members.
- 20% of registration fees paid to MBP by any Participant who makes a reference to the Agent’s MBP Participant Number, if the number of the provided active registrations is equal to or higher than 10 Fellow Members.

d) A special deal with a Participant can be established, subject to an additional agreement.

e) If the status of a Participant is changed, e.g. in the case of transition from the Professional Category to the Fellow member Category or vice versa, the Agent fee rate will change accordingly with the new status. The Fee for the registrations made prior to the change is kept at the rate applicable at the moment of the original Registration.

f) The payment of any Fee(s) shall be made on a monthly basis, but with a 3 months delay from the date when the actual payment for the Registration was received*.

*Notes:
1) MBP will not bear any transaction expenses incurred in connection with the payment of the Participant’s Fee(s). To save your money, if the Fee due a Participant in any month is less than 100 United Kingdom Pounds, MBP shall accrue that Fee and make payments when the total Fee due is 100 United Kingdom Pounds or more.
2) To prevent credit card payment fraud the amount for payment is calculated with a 3 months delay after the Registration fee payment.

A participant may terminate their MBP Agent activity as well as their MBP Participation at any time.

Registration Tariffs are provided in the "Tariffs" page available from the "Home" directory.

MBP reserves the right to amend these conditions, prices, and any other information featured on The Website without prior notice.

9. Publication Registration

A Publication Registration allows the MBP Fellow members and MBP Professionals (all Participants in the Beta version of The Website) to place information on The Website, in the form of formalized data and to post Additional information.

One Publication Registration is allowed free of charge. For every additional publication the Publication Registration fee is a one-off payment of 10 UK Pounds (not applicable to Beta-version of The Website).

Additional information can be uploaded by a Participant as a file (up to 400 words - equivalent of A4 text page, PDF format is recommended or submitted to MBP as an Email attachment in The Website Language(s) of your choice. If Publication’s translation to other The Website Language(s) is required, it may be provided by MBP for the flat fee of 20 (Twenty) UK Pounds per translation.

The Publication Registration and translation fees are not refundable.

The Publication will be presented on The Website for an unlimited period of time. It will be published for one year unless you cancel it or request us to extend it for one more year. You can cancel your Publication Registration using “My Area” directory of the Website. In Beta-version of The Website you can amend your publication using “My Area” Directory of The Website.

MBP reserves the right to deny the Publication Registration to any user for any reason. In such a case, MBP will not process your payment.

PMB reserves the right to make grammatical and stylistic changes to the information provided by Participants that do not affect the substance of the information.

MBP reserves the right to cancel the Publication Registration of any user for any reason. In such a case, MBP will not process your monthly payment due or provide pro rata annual payment refund.

As an exception, MBP may publish, on behalf of the user, information about offer or order, submitted by the user via the MBP or The Company emails or via the MBP messaging system. The decision on the suitability of such information for publication in the MBP directories is at the discretion of MBP. MBP does not provide any guarantee on either publishing information provided by the user via MBP / The Company emails / MBP messaging system or on the timescale of the publishing of this information.

The Company reserves the right to change the fees for new Publication Registrations without further notice.

Until further notice, access to all our resources, including the right to agent fee, is FREE.

10. The Accuracy, Correctness and Reliability of the Website Content

Knowingly false, inaccurate, misleading or defamatory information is not allowed on MBP.

The Participant information comes from the Participants themselves. We try to decline any information we know to be false, but we make no representations or warranties as to the Content's accuracy, correctness or reliability.

We have no opinions about the abilities of any specific Participant. The fact of participation in MBP is not an endorsement of the Participants listed here - we support The Website content to enable you to contact other Participants and decide for yourself whether to deal with them. All business contacts, services, or transactions that you may develop via the MBP service are solely between you and the other parties involved.

11. Participant Identities and Passwords

Participant identity is a building block of the MBP.

A Username is the name that Participants use to identify themselves on to other MBP Users. When registering, participants should choose a Username that they like, however, Usernames may not be profane, obscene, or violate any MBP guidelines.

Every MBP Participant must always have a valid email address.

MBP Participants can't misrepresent their identities, including Location and Activity area.

MBP Participant’s Password should be kept strictly confidential to prevent unauthorized use. You must not disclose your Password to any other parties without prior MBP consent. An access to The Website with your Email address and Password by a third party would represent a breach of this agreement. We may issue you with warnings, restrict or prohibit access to The Website, delay, remove hosted content, or cancel your MBP Participation without refund if at any time we think that there has been or is likely to be a breach of security and request you to change the password you use in connection with the MBP Services.

MBP treats Participants’ identity with the utmost importance and expects its Community to do the same.

You accept and acknowledge that the MBP Services, like other Internet applications, are not secure and we do not guarantee the prevention or detection of any unauthorised attempts to access The Website information.

MBP’s Privacy Policy specifies how your personal information is used.

12. Termination

MBP may suspend or terminate the MBP Service at any time for non payment with or without notice to you. You may terminate your membership at any time for any reason by delivering notice via email or mail; termination will be effective the day notice is received or a later date specified in the notice. If you terminate your membership for any reason, you will not be entitled to a refund of any of the fees already incurred. In case of annual payments, MBP will provide a pro rata annual payment refund.

If you wish to cancel or extend your Membership, simply go to "My Area" directory and follow the instructions.

12. Disclaimer

You agree that MBP does not guarantee the accuracy of the information published on The Website. MBP does not warrant that the functions provided on The Website will be uninterrupted or error-free. You, not MBP or The Company, assume the entire cost of all actions related to your use of this website.

All Information on this Website is provided "as is" without warranty of any kind, either expressed or implied, including without limitation, but not limited to the implied warranties of merchantability, satisfactory quality and fitness for a particular purpose. The entire risk as to the quality and performance of the Products, Projects or Services purchased using Information provided on The Website is with you. Should the Products, Projects or Services purchased using Information provided on The Website prove defective, you and not The Company nor any of its directors, employees, affiliates, agents, representatives, franchisees, assume the entire cost of all necessary corrective actions. If necessary, you, not The Company, assume the entire cost of all necessary servicing, repair or correction due to your use of The Website.

Websites listed on The Website are not controlled by The Company and we are not responsible for any content contained in any such third-party website or any loss suffered by you in relation to your use of such websites. We have listed the sites and contacts due to their relevance and potential help to Participants, but we cannot monitor performance or content. You waive any and all claims against The Company regarding the inclusion of links to outside websites or your use of those websites.

In no event either MBP, or The Company or any of its owners, directors, employees, affiliates, agents, representatives, franchisees, shall be liable for any compensatory, direct, indirect, consequential, special or incidental loss or damages, and for the purposes of this clause the term “loss” includes a partial loss or reduction in value as well as a complete or total loss, lost income, profit or saving, data, or any claims arising out of or in connection with the use of, or the inability to use the MBP service or The Website or the Internet. This also includes the event if The Company or any of its directors, employees, affiliates, agents, representatives, franchisees has been advised of the possibility of such damages or loss.

In addition, The Company shall not be liable for any claim by you or any other party for damages arising out of the use or inability to use the Projects, Products, and Services purchased using Publications of The Website. This also includes the event if The Company, or any of its directors, employees, affiliates, agents, representatives, franchisees has been advised of the possibility of such damages.

No action, regardless of form, arising from or relating to any dissatisfaction with MBP may be brought by you more than one week after the cause of action arose.

MBP User Agreement

This Agreement is between you and The Company that states the Terms and Conditions under which you may use The Website "www.most-bridge.com" and the Most-Bridge Program (MBP) services. Your use of The Website and the MBP services constitutes your agreement to the Terms and Conditions enclosed with this Agreement.

You acknowledge that you have carefully read this Agreement in its entirety, understand it and agree to be bound by its Terms and Conditions. You also agree that this Agreement is the complete and exclusive statement of agreement between the parties and supersedes all prior agreements, proposals, and representations made by either party, whether oral or written, and any other communications between the parties relating to the subject matter of this Agreement.

If any provision (or part of a provision) is held invalid, illegal or unenforceable for any reason, it shall be severed and the rest of the provisions in this Agreement shall continue as if the Agreement had commenced without that provision (or such part of that provision).

This Agreement is subject to the laws of England and Wales and shall inure to the benefit of The Company, its successors, administrators, heirs and assigns without regard to its conflict of laws rules. You expressly agree that exclusive jurisdiction for any claim or dispute The Company resides in the courts of England and Wales, and you further expressly consent and agree to personal jurisdiction by courts sitting of England and Wales.

If any legal action is brought by either party to this Agreement regarding the subject matter of this Agreement, the prevailing party shall be entitled to recover, in addition to any other relief, reasonable attorneys' fees and expenses.

We reserve the right to change information featured on this website, including the Terms and Conditions, without notice. It is the responsibility of the User to keep current with changes in the information.
